HOOTNOVA ACADEMY
STUDENT AGREEMENT: CONFIDENTIALITY, NON-DISTRIBUTION, AND WAIVER
This Agreement is entered into between Hootnova ("Hootnova"), the instructor delivering the training identified in the applicable course registration ("Instructor"), and the individual registering for or attending a Hootnova Academy training ("Student"), collectively the "Parties." It applies to every Hootnova Academy course, seminar, or cohort the Student registers for, unless a separate written agreement expressly replaces it for a specific course.
1. Definitions
• "Materials" means all slides, documents, workbooks, digital modules, templates, recordings, video lectures, livestreams, and any other content prepared or delivered by the Instructor or Hootnova in connection with the training, in any format.
• "Training" means the specific course, seminar, or cohort the Student has registered for.
• "Session" means any live, online, or in-person meeting conducted as part of the Training.
2. Limited License to Access Materials
Hootnova and the Instructor grant the Student a personal, non-exclusive, non-transferable, and revocable license to access and use the Materials solely for the Student's own individual learning during and reasonably after the Training. This license does not transfer any ownership, copyright, or other right in the Materials to the Student.
3. Confidentiality and Non-Disclosure
The Materials are proprietary and confidential to the Instructor and Hootnova. The Student agrees not to disclose, publish, post, or otherwise make the Materials available to any person who has not registered for and paid for the Training, whether the Materials are shared in whole or in part, and regardless of the medium used.
4. Restrictions on Reproduction, Distribution, and Resale
Without the prior written consent of both Hootnova and the Instructor, the Student will not:
• Copy, reproduce, screenshot, download, or extract the Materials beyond what is reasonably necessary for personal note-taking during the Training;
• Distribute, share, forward, upload, mirror, or resell the Materials, in whole or in part, on any platform, including private messaging apps, cloud drives, social media, or file-sharing sites;
• Use the Materials to create, prepare, or deliver a competing course, seminar, or training, whether for Hootnova or any other party.
5. Recording and Rebroadcasting of Sessions
The Student will not record, screen-record, photograph, livestream, rebroadcast, or otherwise capture any Session, in whole or in part, using any device or software, without the prior written consent of Hootnova and the Instructor. This restriction applies regardless of whether the Session is conducted online or in person, and covers audio, video, and any combination of the two.
6. Intellectual Property Ownership
All Materials, and all copyright and other intellectual property rights in them, remain the sole property of the Instructor and/or Hootnova, as applicable, under the Intellectual Property Code of the Philippines (Republic Act No. 8293), including the exclusive economic rights described in that Code (reproduction, adaptation, and other acts requiring the copyright owner's authorization). Nothing in this Agreement assigns or licenses any of those rights to the Student beyond the limited access described in Section 2.
7. Non-Circumvention
For twelve (12) months following the Student's completion of, or withdrawal from, the Training, the Student will not directly engage, book, or contract the Instructor for a training, seminar, or consulting engagement of a similar nature by circumventing Hootnova, without Hootnova's prior written consent. This does not prevent the Student from engaging the Instructor through Hootnova, or from engaging any other trainer or provider entirely unrelated to the Instructor.
8. Responsible and Lawful Use of Techniques Taught
Where the Training includes practical exercises, simulations, or techniques (including but not limited to phishing simulation or other security-testing methods), the Student agrees to use any knowledge or technique gained solely for lawful, authorized, and ethical purposes. The Student will not use any technique taught during the Training to gain unauthorized access to, or otherwise compromise, any system, account, or individual without proper legal authorization.
9. Nature of Training and Waiver of Liability
This Training is not a formal certification program. Completion of the Training does not itself confer any certification, license, accreditation, or credential. The Training is designed to help prepare Students for relevant third-party certification exams administered by outside certifying bodies; whether a Student ultimately earns any such certification depends on that Student's own performance on the applicable exam, which is entirely separate from, and not guaranteed by, Hootnova or the Instructor.
The Student further acknowledges that the Training is provided for educational purposes and that Hootnova and the Instructor make no guarantee of specific outcomes, exam results, or employment results. To the extent permitted by law, the Student waives claims against Hootnova and the Instructor for any indirect, incidental, or consequential loss arising from participation in the Training, including technical interruptions beyond Hootnova's reasonable control. This waiver does not apply to loss caused by the gross negligence or willful misconduct of Hootnova or the Instructor, which cannot be waived under Philippine law.
10. Remedies
The Student acknowledges that unauthorized disclosure, distribution, or recording of the Materials or Sessions may cause harm not adequately compensated by monetary damages alone. Hootnova and the Instructor may seek injunctive relief in addition to any other remedy available at law, including damages and immediate removal of the Student from the Training without refund in cases of material breach.
11. Term and Survival
This Agreement takes effect upon the Student's registration for a Training and continues for the duration of the Training. Sections 3 (Confidentiality), 4 (Reproduction and Distribution), 6 (Intellectual Property), 7 (Non-Circumvention), and 10 (Remedies) survive completion, withdrawal, or termination of the Training.
12. Data Privacy
Hootnova collects and processes the Student's personal data (including name, email, and phone number) solely for purposes of registration, communication, and delivery of the Training, in accordance with the Data Privacy Act of 2012. Hootnova will not sell or disclose this data to third parties outside the purposes described here without the Student's consent, except as required by law.
13. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Republic of the Philippines. The Parties will first attempt in good faith to resolve any dispute informally. If unresolved, disputes will be brought exclusively before the proper courts within Quezon City, Philippines.
14. Acceptance
By checking the acceptance box during registration, the Student confirms that they have read, understood, and agree to be bound by this Agreement.
